Platform Tenant Agreement

This Tenant Agreement (“Agreement”) is entered into by and between Dreem Enterprises LLC d/b/a Dreem Platform and Dreem Team (“Dreem,” “we,” “us,” or “our”) and the organization accepting this Agreement (“Tenant”).

This Agreement supplements the Dreem Platform Terms of Service. In the event of a conflict, this Agreement governs Tenant’s use of the Platform as an organizational customer.

1. Purpose

Tenant is using the Dreem Platform to manage organizational operations, which may include team management, player and family accounts, registrations, payments, fundraising, communications, events, media, and related activities.

2. Independent Organization

Tenant is an independent organization and is not an employee, agent, partner, or representative of Dreem.

Dreem provides software tools only and does not manage, control, supervise, or assume responsibility for Tenant’s operations, personnel, finances, events, or activities.

3. Authority

The individual accepting this Agreement represents and warrants that they are authorized to bind the Tenant to this Agreement and all related terms.

4. Tenant Responsibilities

Tenant is solely responsible for:

  • The accuracy of all information submitted through the Platform
  • All content, communications, rosters, registrations, and events
  • Fees, payments, refunds, and financial activity
  • Obtaining all required consents, permissions, and releases
  • Compliance with all applicable federal, state, and local laws
  • Establishing and maintaining appropriate internal policies

5. Minor Data & Consent

If Tenant uses the Platform in connection with minors, Tenant agrees that:

  • All required parent or legal guardian permissions have been obtained prior to collecting, using, or sharing any minor’s personal information or media
  • Children under 13 will not independently create accounts unless all required consent has been obtained
  • Tenant is responsible for all notices, waivers, releases, and permissions related to minors
  • Tenant will not upload or share unauthorized or sensitive information relating to minors

Dreem does not independently verify consent and is not responsible for any failure by Tenant to obtain or maintain required permissions.

6. Prohibited Data

Tenant agrees not to upload or transmit the following unless expressly authorized in writing:

  • Social Security numbers
  • Driver’s license or passport numbers
  • Financial login credentials
  • Full medical records
  • Any highly sensitive personal information not required for platform use

7. Media & Content

Tenant represents and warrants that it has all necessary rights, permissions, and releases to upload and use any content, including names, images, videos, logos, and trademarks.

Tenant grants Dreem a non-exclusive, worldwide, royalty-free license to host, use, reproduce, display, and distribute such content solely to operate and improve the Platform.

Tenant agrees to indemnify Dreem against any claims related to unauthorized content.

8. Payments & Processing

If Tenant uses payment features:

  • Payment processing may be provided by third parties, including Stripe
  • Tenant must complete all required onboarding, identity verification, and compliance steps
  • Tenant is responsible for all charges, dues, donations, refunds, disputes, chargebacks, and taxes
  • Tenant’s payment account is subject to Stripe’s terms and agreements

Dreem may suspend or restrict payment functionality if required for compliance, fraud prevention, or risk management.

9. Fees

Tenant agrees to pay all applicable:

  • Platform fees
  • Subscription fees
  • Transaction fees
  • Messaging or communication fees

Tenant remains responsible for all financial obligations arising from its use of the Platform.

10. Communications Compliance

Tenant is responsible for ensuring compliance with all laws related to:

  • Email communications
  • SMS/text messaging
  • Notifications and outreach

Tenant represents that it has obtained all necessary consent before contacting participants, parents, or other users.

11. Security & Cooperation

Tenant agrees to:

  • Notify Dreem of any suspected unauthorized access or data misuse
  • Cooperate in resolving security or compliance issues
  • Maintain reasonable safeguards for account access

12. Suspension

Dreem may suspend or limit Platform access if Tenant:

  • Violates this Agreement or applicable laws
  • Creates legal, financial, or reputational risk
  • Misuses data, payments, or communication tools

13. No Responsibility for Tenant Activities

Dreem is not responsible for:

  • Team decisions or player participation
  • Coaching or supervision
  • Events or activities
  • Injuries or incidents
  • Internal disputes
  • Refunds or financial commitments made by Tenant

14. Indemnification

Tenant agrees to defend, indemnify, and hold harmless Dreem and its affiliates, officers, employees, and contractors from any claims, damages, or expenses arising from:

  • Tenant’s operations
  • Use of the Platform
  • Content or data submitted
  • Handling of minors or participant data
  • Payment activity or disputes
  • Violation of applicable laws

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DREEM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

DREEM’S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY TENANT TO DREEM IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

16. Term & Termination

This Agreement begins upon acceptance and continues until terminated.

Dreem may terminate or suspend this Agreement at any time for violations, nonpayment, or risk.

17. Data Retention & Export

Upon termination:

  • Tenant may request data export (subject to limitations)
  • Dreem may retain data as required by law or internal policies

18. Governing Law

This Agreement is governed by the laws of the State of California.

Any disputes shall be resolved in courts located in Los Angeles County, California.

19. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between Tenant and Dreem.

20. Acceptance

This Agreement is accepted electronically during onboarding.

By submitting onboarding and checking the required boxes, Tenant agrees that:

  • Acceptance is legally binding
  • Electronic records, timestamps, and user data serve as proof of agreement

21. No Class Actions

All disputes must be brought on an individual basis. You waive any right to participate in class, collective, or representative actions.
